  1. LICENSE AGREEMENT FOR THE REALAUDIO 
  2. PLAYER 
  3.  
  4. IMPORTANT -- READ CAREFULLY: By clicking on 
  5. the Next button or by opening the sealed packet(s) 
  6. to make and utilize copies of the RealAudio Player 
  7. and accompanying software ("Software") Licensee 
  8. agrees to be bound by the terms of this License 
  9. Agreement ("Agreement").  If Licensee does not 
  10. agree to the terms of this Agreement Licensee must 
  11. promptly destroy all copies of the Software and 
  12. accompanying documentation ("Documentation") 
  13. and obtain a full refund from Progressive Networks 
  14. Inc. 
  15.  
  16. I. GRANT OF LICENSE: 
  17.  
  18. Progressive Networks Inc. ("PN") hereby grants to 
  19. Licensee a non-exclusive license to use the 
  20. Software and Documentation on the following terms: 
  21.  
  22. Licensee may: (i) use the Software on any single 
  23. computer; (ii) use the Software on a second 
  24. computer so long as the first and second computers 
  25. are not used simultaneously; (iii) copy the Software 
  26. for archival purposes provided any copy must 
  27. contain all of the original Software's proprietary 
  28. notices. 
  29.  
  30. Licensee may not: (i) permit other individuals to use 
  31. the Software except under the terms listed above; (ii) 
  32. modify translate reverse engineer decompile 
  33. disassemble (except to the extent that this restriction 
  34. is expressly prohibited by law) or create derivative 
  35. works based upon the Software or Documentation; 
  36. (iii) copy the Software or Documentation (except for 
  37. back-up purposes); (iv) rent lease transfer or 
  38. otherwise transfer rights to the Software or 
  39. Documentation; or (v) remove any proprietary notices 
  40. or labels on the Software or Documentation. 
  41.  
  42. II.  SOFTWARE: 
  43.  
  44. If Licensee receives the first copy of the Software 
  45. electronically and a second copy on media the 
  46. second copy may be used for archival purposes 
  47. only.  This license does not grant Licensee any right 
  48. to any enhancement or update. 
  49.  
  50. III. TITLE: 
  51.  
  52. Title ownership rights and intellectual property rights 
  53. in and to the Software and Documentation shall 
  54. remain in PN and/or its suppliers. The Software is 
  55. protected by the copyright laws of the United States 
  56. and international copyright treaties.  Title ownership 
  57. rights and intellectual property rights in and to the 
  58. content accessed through the Software including 
  59. the content contained in the Software audio 
  60. demonstration files is the property of the applicable 
  61. content owner and may be protected by applicable 
  62. copyright or other law. This license gives Licensee 
  63. no rights to such content. 
  64.  
  65. IV. LIMITED WARRANTY: 
  66.  
  67. PN warrants that for a period of ninety (90) days from 
  68. the date of acquisition the Software if operated as 
  69. directed will substantially achieve the functionality 
  70. described in the Documentation.  PN does not 
  71. warrant however that Licensee's use of the Software 
  72. will be uninterrupted or that the operation of the 
  73. Software will be error-free or secure.  PN also 
  74. warrants that the media containing the Software if 
  75. provided by PN is free from defects in material and 
  76. workmanship and will so remain for ninety (90) days
  77. from the date Licensee acquires the Software. 
  78.  
  79. V. CUSTOMER REMEDIES: 
  80.  
  81. PN's sole liability for any breach of this warranty shall 
  82. be in PN's sole discretion: (i) to replace Licensee's 
  83. defective media; or (ii) to advise Licensee how to 
  84. achieve substantially the same functionality with the 
  85. Software as described in the Documentation through 
  86. a procedure different from that set forth in the 
  87. Documentation; or (iii) if the above remedies are 
  88. impracticable to refund the license fee Licensee paid 
  89. for the Software. 
  90.  
  91. Repaired corrected or replaced Software and 
  92. Documentation shall be covered by this limited 
  93. warranty for the period remaining under the warranty 
  94. that covered the original Software or if longer for 
  95. thirty (30) days after the date PN either shipped to 
  96. Licensee the repaired or replaced Software or 
  97. advised Licensee as to how to operate the Software 
  98. so as to achieve the functionality described in the 
  99. Documentation hich ever is applicable.  Only if 
  100. Licensee informs PN of the problem with the 
  101. Software during the applicable warranty period and 
  102. provides evidence of the date Licensee acquired the
  103. Software will PN be obligated to honor this warranty. 
  104.  
  105. NO OTHER WARRANTIES: TO THE MAXIMUM 
  106. EXTENT PERMITTED BY APPLICABLE LAW 
  107. PN AND ITS SUPPLIERS DISCLAIM ALL OTHER 
  108. WARRANTIES EITHER EXPRESS OR IMPLIED 
  109. INCLUDING BUT NOT LIMITED TO IMPLIED 
  110. WARRANTIES OF MERCHANTIBILITY AND 
  111. FITNESS FOR A PARTICULAR PURPOSE WITH 
  112. REGARD TO THE SOFTWARE THE 
  113. ACCOMPANYING WRITTEN MATERIALS AND 
  114. ANY ACCOMPANYING HARDWARE. If any 
  115. modifications are made to the Software by Licensee 
  116. during the warranty period; if the media is subjected 
  117. to accident abuse or improper use; or if Licensee 
  118. violates the terms of this license then this warranty 
  119. shall immediately terminate.  This warranty shall not 
  120. apply if the Software is used on or in conjunction 
  121. with hardware or Software other than the unmodified 
  122. version of hardware and Software with which the 
  123. Software was designed to be used as described in 
  124. the Documentation.  THIS LIMITED WARRANTY 
  125. GIVES LICENSEE SPECIFIC LEGAL RIGHTS.  
  126. LICENSEE MAY HAVE OTHERS WHICH VARY 
  127. FROM STATE/JURISDICTION TO 
  128. STATE/JURISDICTION. 
  129.  
  130. VI. LIMITATION OF LIABILITY: 
  131.  
  132. UNDER NO CIRCUMSTANCES AND UNDER NO 
  133. LEGAL THEORY WHETHER IN TORT 
  134. CONTRACT OR OTHERWISE SHALL PN OR ITS 
  135. SUPPLIERS OR RESELLERS BE LIABLE TO 
  136. LICENSEE OR ANY OTHER PERSON FOR ANY 
  137. INDIRECT SPECIAL INCIDENTAL OR 
  138. CONSEQUENTIAL DAMAGES OF ANY 
  139. CHARACTER INCLUDING WITHOUT LIMITATION 
  140. DAMAGES FOR LOSS OF GOODWILL WORK 
  141. STOPPAGE COMPUTER FAILURE OR 
  142. MALFUNCTION OR ANY AND ALL OTHER 
  143. COMMERCIAL DAMAGES OR LOSSES 
  144. EVEN IF PN SHALL HAVE BEEN INFORMED OF 
  145. THE POSSIBILITY OF SUCH DAMAGES OR FOR 
  146. ANY CLAIM BY ANY OTHER PARTY. FURTHER 
  147. IN NO EVENT SHALL PN'S LIABILITY UNDER 
  148. ANY PROVISION OF THIS AGREEMENT EXCEED 
  149. THE LICENSE FEE PAID TO PN FOR THE 
  150. SOFTWARE AND DOCUMENTATION. BECAUSE 
  151. SOME STATES/JURISDICTIONS DO NOT ALLOW 
  152. THE EXCLUSION OR LIMITATION OF LIABILITY 
  153. FOR CONSEQUENTIAL OR INCIDENTAL 
  154. DAMAGES THE ABOVE LIMITATION MAY NOT 
  155. APPLY TO LICENSEE. 
  156.  
  157. VII.  INDEMNIFICATION 
  158.  
  159. Licensee represents and warrants that it will utilize 
  160. the "Selective Record" feature only for data for 
  161. which Licensee has obtained all necessary 
  162. clearances and permissions.  Licensee assumes the 
  163. entire risk resulting from its breach of this warranty 
  164. and agrees to hold harmless indemnify and defend PN
  165. its officers directors and employees from and against 
  166. any losses damages fines and expenses (including 
  167. attorney's fees and costs) arising out of or relating to 
  168. any claims that the Licensee has recorded and/or 
  169. transmitted materials in violation of another party's 
  170. rights. 
  171.  
  172. VIII. TERMINATION: 
  173.  
  174. This license shall terminate automatically if Licensee 
  175. fails to comply with the limitations described in this 
  176. license.  On termination Licensee must destroy all 
  177. copies of the Software and Documentation. 
  178.  
  179. IX. U.S. GOVERNMENT RESTRICTED RIGHTS 
  180. AND EXPORT RESTRICTIONS: 
  181.  
  182. The Software is provided with RESTRICTED 
  183. RIGHTS. Use duplication or disclosure by the 
  184. Government is subject to restrictions as set forth in 
  185. subparagraph (c)(1)(ii) of The Rights in Technical 
  186. Data and Computer Software clause of DFARS 
  187. 252.227-7013 or subparagraphs (c)(i) and (2) of the 
  188. Commercial Computer Software-Restricted Rights at 
  189. 48 CFR 52.227-19 as applicable. Manufacturer is 
  190. Progressive Networks 1111 Third Avenue Suite 2900
  191. Seattle Washington 98101. Licensee acknowledges 
  192. that none of the Software or underlying information or 
  193. technology may be download or otherwise exported 
  194. or re-exported (i) into (or to a national or resident of) 
  195. Cuba Iraq Libya Yugoslavia North Korea Iran Syria or 
  196. any other country to which the U.S. has embargoed 
  197. goods; or anyone on the U.S. Treasury Department's 
  198. list of Specially Designated Nationals or the U.S. 
  199. Commerce Department's Table of Denial Orders.  By 
  200. using the Software you are agreeing to the foregoing 
  201. and you are representing and warranting that you are 
  202. not located in under the control of a national or 
  203. resident or resident of any such country or on any 
  204. such list. 
  205.  
  206. X. GOVERNING LAW; ATTORNEYS FEES: 
  207.  
  208. This agreement shall be governed by the laws of the 
  209. State of Washington and Licensee further consents 
  210. to jurisdiction by the state and federal courts sitting in 
  211. the State of Washington. If either PN or Licensee 
  212. employs attorneys to enforce any rights arising out of 
  213. or relating to this Agreement the prevailing party shall 
  214. be entitled to recover reasonable attorneys' fees. 
  215.  
  216. XI. ENTIRE AGREEMENT: 
  217.  
  218. This agreement constitutes the complete and 
  219. exclusive agreement between PN and Licensee with 
  220. respect to the subject matter hereof and supersedes 
  221. all prior oral or written understandings 
  222. communications or agreements not specifically 
  223. incorporated herein.  This agreement may not be 
  224. modified except in a writing duly signed by an 
  225. authorized representative of PN and Licensee. THE 
  226. ACCEPTANCE OF ANY PURCHASE ORDER 
  227. PLACED BY LICENSEE IS EXPRESSLY MADE 
  228. CONDITIONAL ON THE CONSENT OF LICENSEE 
  229. TO THE TERMS SET FORTH HEREIN.
